Welcome to Julexis!

The following sets forth Julexis's Terms of Use. We know how tempting it is to skip these Terms of Use, but it's important to establish what you can expect from us as you use Julexis's Service, and what we expect from you. The Terms of Use is a binding legal document, and you are required to read and accept it in full in order to use our Service.

YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING JULEXIS'S PRIVACY POLICY (AVAILABLE AT /legal#privacy). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND JULEXIS'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY JULEXIS AND BY YOU TO BE BOUND BY THESE TERMS.

1. The Julexis Service

Welcome, and thank you for your interest in Julexis, operated by Giulio Palumbo Schiavone (sole proprietorship), with registered office at Via Emanuele Gianturco 30, 80046 San Giorgio a Cremano (NA), Italy, VAT number IT09223291213 ("Julexis," "we," or "us") and our website at julexis.com, along with our related websites, networks, hosted applications, and other services provided by us (collectively, the "Service"). These Terms of Use are a legally binding contract between you and Julexis regarding your use of the Service.

1.1 What Julexis Does: Julexis provides an AI-powered social media content planning and management platform that enables users to:

  • Generate AI-powered social media content
  • Create and manage content plans for multiple clients
  • Schedule and publish content across multiple social media platforms
  • Collaborate with clients through review and approval workflows
  • Manage media libraries and assets
  • Track and analyze content performance
  • Generate PDF reports and presentations

1.2 Service Architecture: Our Service operates through a combination of:

  • Web-based dashboard hosted on Vercel's infrastructure
  • Database services provided by Supabase
  • AI processing through third-party AI services
  • Social media publishing via Upload-Post API
  • Email delivery through Resend services
  • Media storage and processing through Supabase Storage
  • Domain and DNS services through GoDaddy

1.3 Service Availability: We provide the Service on a subscription basis with different plan tiers (Personal, SMM, Agency) each offering different features, usage limits, and capabilities. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Eligibility and Account Registration

2.1 Age and Legal Capacity: You must be at least 18 years old and have the legal capacity to enter into contracts to use Julexis. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms.

2.2 Account Registration: To access most features of Julexis, you must create an account by providing:

  • A valid email address
  • A secure password meeting our security requirements
  • Basic profile information including name and company details
  • Agreement to these Terms of Use and our Privacy Policy

2.3 Account Security: You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Using strong, unique passwords and enabling two-factor authentication when available
  • Keeping your account information current and accurate

2.4 Account Termination: We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Use
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable fees
  • Remain inactive for an extended period (12+ months), subject to 30 days' prior notice
  • Pose a security risk to our Service or other users

3. Subscription Plans and Billing

3.1 Plan Types: Julexis offers multiple subscription plans:

  • Personal Plan: For individual creators with built-in AI content generation
  • SMM Plan: For freelancers and small teams managing up to 3 clients
  • Agency Plan: For marketing agencies managing unlimited clients with white-label features

3.2 Billing and Payment:

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payment is due immediately upon subscription activation
  • We accept major credit cards and electronic payment methods via Stripe
  • All fees are subject to your right of withdrawal as described in Section 3.5 and our refund policy in Section 3.6
  • You authorize us to charge your payment method for all applicable fees

3.3 Plan Changes and Cancellation:

  • You may upgrade or downgrade your plan at any time
  • Plan changes take effect at the next billing cycle
  • You may cancel your subscription at any time
  • Cancellation stops future billing; you retain access until the end of your current billing period

3.4 Free Trial:

Julexis may offer a 14-day free trial for new subscribers. The following conditions apply:

  • Each person is entitled to one free trial only. If you have previously used a free trial (even with a different account), you will not be eligible for another trial.
  • To prevent abuse, we verify trial eligibility using your account email and the payment method provided at checkout. If your payment method has already been associated with a previous trial on any Julexis account, the trial will not be available and your subscription will be activated immediately with immediate billing.
  • If your trial is not available for the reasons above, you will be notified by email and through an in-app notification explaining that your subscription has been activated immediately.
  • During the trial period, certain features may be limited depending on your selected plan (e.g., maximum number of clients).
  • At the end of the trial, your subscription will automatically convert to a paid plan and your payment method will be charged unless you cancel before the trial ends.

3.5 Right of Withdrawal (Consumer Right):

14-Day Right of Withdrawal

Pursuant to Articles 52-59 of the Italian Consumer Code (D.Lgs. 206/2005) and Directive 2011/83/EU, if you are a consumer (i.e., a natural person acting for purposes outside your trade, business, craft, or profession), you have the right to withdraw from your subscription within 14 days from the date of purchase, without providing any reason and without incurring any costs.

How to exercise your right of withdrawal:

  • Send a clear statement of your decision to withdraw by email to legal@julexis.com or by PEC to giulio.palumboschiavone@pec.it
  • Include your full name, email address associated with your account, date of purchase, and a clear statement that you wish to withdraw
  • We will process your refund within 14 days of receiving your withdrawal notice, using the same payment method you used for the original transaction

Consent to immediate provision of the Service: By completing the checkout process and activating your subscription (whether with or without a free trial), you expressly consent to the immediate provision of the Service and acknowledge that access to the digital content and features begins immediately upon activation. Pursuant to Article 59, paragraph 1, letter o) of the Italian Consumer Code and Article 16, letter m) of Directive 2011/83/EU, you acknowledge that this immediate access means you lose your right of withdrawal once the Service has been fully provided during the withdrawal period.

3.6 Refund Policy:

7-Day Satisfaction Guarantee

Notwithstanding the waiver of the right of withdrawal described above, Julexis offers a voluntary 7-day refund policy as a gesture of good faith:

  • If you are not satisfied with the Service, you may request a full refund within 7 days of your first paid charge (not including trial periods).
  • To request a refund, contact us at support@julexis.com with your account email and reason for the refund request.
  • Refunds will be processed within 5-10 business days to the original payment method.
  • This policy applies to your first subscription payment only. Subsequent renewals, plan upgrades, and add-on client charges are not eligible for refund under this policy.
  • Refund requests made after the 7-day period will be evaluated on a case-by-case basis at our sole discretion.

3.7 AI Credits and Usage: All plans include AI-powered content generation through our integrated AI Credits system. You are responsible for:

  • Monitoring your AI Credits usage within your plan limits
  • Understanding that AI Credits reset monthly based on your subscription
  • Upgrading your plan if you need additional AI Credits

4. License to Use Julexis Services

4.1 License Grant: Subject to these Terms and your compliance with them, Julexis grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term of your subscription to:

  • Access and use the Service for your internal business purposes
  • Create, edit, and manage social media content plans
  • Generate content using our AI-powered tools
  • Schedule and publish content to connected social media accounts
  • Share content plans with clients for review and approval
  • Export data and reports as permitted by your subscription plan

4.2 License Restrictions: You may not:

  • Sell, rent, lease, sublicense, or transfer your rights to the Service
  • Use the Service for any unlawful or prohibited purposes
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices from the Service
  • Use the Service to create competing services or products
  • Access the Service through automated means (bots, scrapers) without permission
  • Attempt to gain unauthorized access to any systems or data

4.3 Service Limitations: Your use of the Service is subject to:

  • Usage limits specified in your subscription plan
  • Rate limits and API restrictions
  • Storage quotas for media and data
  • Feature availability based on your plan tier
  • Geographic restrictions where applicable

5. User Content and Data

5.1 Content Ownership: You retain ownership of all content you create, upload, or generate using Julexis, including:

  • Text content, captions, and descriptions
  • Images, videos, and other media files
  • Client information and contact details
  • Content plans and editorial calendars
  • Custom branding and logos

5.2 License to Julexis: By using the Service, you grant Julexis a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and transmit your content to provide the Service
  • Use AI models to analyze and generate content based on your input
  • Create backups and copies for service continuity
  • Display your content to authorized users (clients, team members)
  • Generate reports and analytics based on aggregated, anonymized data

5.3 Content Responsibility: You are solely responsible for:

  • Ensuring your content doesn't violate any laws or third-party rights
  • Obtaining necessary licenses for images, music, or other copyrighted materials
  • Complying with social media platform policies and guidelines
  • Maintaining appropriate content for your audience and clients
  • Backing up your important content and data

5.4 Data Processing: We process your data in accordance with our Privacy Policy and:

  • Use industry-standard encryption for data storage and transmission
  • Implement security measures to protect against unauthorized access
  • Process data only as necessary to provide the Service
  • Allow you to export your data in standard formats
  • Delete your data upon account termination as outlined in our retention policy

6. Prohibited Uses and Conduct

6.1 General Prohibitions: You may not use Julexis to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on intellectual property rights of others
  • Create, distribute, or promote illegal, harmful, or offensive content
  • Engage in harassment, bullying, or discriminatory behavior
  • Distribute spam, malware, or other malicious software
  • Impersonate others or misrepresent your identity
  • Collect personal information without proper consent

6.2 Content Violations: You may not create or share content that:

  • Contains hate speech, violence, or promotes illegal activities
  • Includes adult content, nudity, or sexually explicit material
  • Violates privacy rights or contains personal information without consent
  • Includes copyrighted material without proper authorization
  • Promotes dangerous activities or self-harm
  • Contains false or misleading information
  • Violates social media platform community guidelines

6.3 Technical Violations: You may not:

  • Attempt to bypass security measures or access controls
  • Use automated tools to access the Service without permission
  • Overload or disrupt our servers or networks
  • Reverse engineer or attempt to extract source code
  • Interfere with other users' access to the Service
  • Use the Service to compete with or replicate our offerings

6.4 Account Violations: You may not:

  • Share your account credentials with unauthorized users
  • Create multiple accounts to circumvent usage limits
  • Use false information during registration
  • Allow minors to use your account
  • Use your account for fraudulent or deceptive practices

7. Third-Party Services and Integrations

7.1 Integrated Services: Julexis integrates with various third-party services to provide our functionality:

  • Social Media Platforms: Facebook, Instagram, LinkedIn, TikTok, Twitter/X, Pinterest
  • Cloud Infrastructure: Supabase (database and storage), Vercel (hosting)
  • AI Services: AI content generation providers
  • Publishing Services: Upload-Post API for social media publishing
  • Communication: Resend (email services)
  • Domain Services: GoDaddy (DNS and domain management)
  • Payment Processing: Stripe

7.2 Third-Party Terms: Your use of integrated third-party services is subject to:

  • The respective terms of service and privacy policies of each platform
  • Social media platform community guidelines and advertising policies
  • API usage limits and restrictions imposed by service providers
  • Geographic availability and regulatory restrictions
  • Changes to third-party terms that may affect Service functionality

7.3 Service Dependencies: The functionality of Julexis depends on:

  • Continued availability of third-party APIs and services
  • Your valid accounts and permissions with social media platforms
  • Available AI Credits within your subscription plan
  • Network connectivity and internet infrastructure
  • Browser compatibility and up-to-date software

7.4 Third-Party Limitations: We are not responsible for:

  • Outages, changes, or discontinuation of third-party services
  • Policy changes by social media platforms that affect publishing
  • Costs associated with your use of third-party services
  • Content moderation decisions made by external platforms
  • Data handling practices of integrated third-party services

8. Intellectual Property Rights

8.1 Julexis Intellectual Property: Julexis owns all rights, title, and interest in:

  • The Service software, code, and technology
  • Our trademarks, logos, and brand elements
  • Service design, user interface, and user experience
  • Proprietary algorithms and AI training methodologies
  • Documentation, guides, and educational materials
  • Aggregated and anonymized usage data and insights

8.2 User-Generated Content: For content you create using our Service:

  • You retain ownership of original content you input
  • AI-generated content based on your input is owned by you
  • You must ensure you have rights to all source materials
  • You grant us license to process and store your content as needed
  • You're responsible for respecting third-party intellectual property

8.3 Copyright Protection:

  • We respect copyright laws under EU Directive 2019/790 and Italian Law No. 633/1941
  • We respond to valid copyright infringement notices (see our Copyright Policy section)
  • We may terminate accounts of repeat copyright infringers
  • Users must obtain proper licenses for copyrighted materials
  • Fair use and quotation right provisions may apply in certain circumstances

8.4 Trademark Usage:

  • You may not use Julexis trademarks without written permission
  • Agency plan users may use limited white-label features
  • Client-facing materials may include appropriate attribution
  • You must respect trademark rights of social media platforms
  • Brand guidelines must be followed when referencing Julexis

9. Privacy and Data Protection

9.1 Privacy Commitment: We are committed to protecting your privacy and handle your data according to:

  • Our comprehensive Privacy Policy (available at /legal#privacy)
  • GDPR requirements for European users (Regulation EU 2016/679)
  • Extension of GDPR-grade privacy rights to non-EU users, including California residents
  • Italian Privacy Code (D.Lgs. 196/2003, as amended by D.Lgs. 101/2018)
  • Transparent data handling procedures

9.2 Data Collection: We collect and process:

  • Account information and profile data
  • Content you create, upload, and share
  • Usage analytics and performance metrics
  • Communication records and support interactions
  • Technical data for service optimization
  • Payment and billing information

9.3 Data Security: We implement:

10. Disclaimers and Limitation of Liability

IMPORTANT LIABILITY LIMITATIONS

The following limitations apply to the maximum extent permitted by applicable law, including Italian and EU consumer protection law. Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so these may not apply to you. Nothing in these Terms excludes or limits our liability for matters that cannot be limited by law.

10.1 Service Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranties of uninterrupted or error-free operation
  • Warranties regarding the accuracy or reliability of AI-generated content
  • Warranties of compatibility with all devices and platforms
  • Warranties regarding third-party service availability

10.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JULEXIS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COSTS OF SUBSTITUTE GOODS OR SERVICES
  • DAMAGES RESULTING FROM THIRD-PARTY SERVICE FAILURES
  • DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
  • DAMAGES EXCEEDING THE AMOUNT PAID FOR THE SERVICE IN THE PRECEDING 12 MONTHS

10.3 Service Limitations: We do not guarantee:

  • 100% uptime or availability of the Service
  • Successful publishing to all social media platforms
  • Compliance of AI-generated content with all platform policies
  • Backup or recovery of your data in all circumstances
  • Compatibility with future platform or API changes
  • Specific performance levels or response times

10.4 User Responsibilities: You acknowledge that:

  • You use the Service at your own risk
  • You're responsible for backing up important data
  • You must review AI-generated content before publishing
  • You're liable for content that violates platform policies
  • You must maintain secure account practices

Note: These limitations do not affect your statutory rights as a consumer under applicable Italian and EU law, including the Italian Consumer Code (D.Lgs. 206/2005).

11. Indemnification

11.1 User Indemnification: To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Julexis, its owner, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service or violation of these Terms
  • Content you create, upload, or share through the Service
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
  • Your negligent or willful misconduct
  • Claims by your clients or other third parties

11.2 Indemnification Process:

  • We will promptly notify you of any claims subject to indemnification
  • You may assume control of the defense with counsel of your choice
  • We may participate in the defense at our own expense
  • You may not settle claims without our prior written consent
  • We reserve the right to assume defense if you fail to defend promptly

11.3 Exceptions: Your indemnification obligations do not apply to claims arising from:

  • Our gross negligence or willful misconduct
  • Our violation of these Terms of Use
  • Defects in the Service not caused by your misuse
  • Our infringement of third-party intellectual property rights

Note: This indemnification clause does not affect your statutory rights as a consumer and will be interpreted in accordance with applicable Italian and EU consumer protection law.

12. Termination

12.1 Termination by You: You may terminate your account at any time by:

  • Canceling your subscription through your account settings
  • Contacting our support team with a termination request
  • Following the cancellation procedures in your account dashboard

12.2 Termination by Julexis: We may suspend or terminate your account if:

  • You violate these Terms of Use
  • You fail to pay applicable fees after notice
  • You engage in fraudulent or illegal activities
  • Your account remains inactive for 12+ months (with at least 30 days' prior notice via email, giving you the opportunity to download your data before termination)
  • You pose a security risk to the Service or other users
  • We discontinue the Service (with 30 days notice)

12.3 Effect of Termination: Upon termination:

  • Your access to the Service will cease at the end of the current billing period (or immediately in case of violation)
  • You remain liable for all fees incurred before termination
  • You may download your data for 30 days after termination
  • We will delete your account data according to our retention policy
  • Scheduled posts may be cancelled or completed at our discretion
  • These Terms continue to apply to pre-termination activities

12.4 Data Retention After Termination:

  • Account and content data: Deleted after 30 days
  • Billing records: Retained for 10 years as required by Italian tax law
  • Anonymized usage data: May be retained indefinitely
  • Legal hold data: Retained as required for litigation

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the Italian Republic, including EU Regulation 593/2008 (Rome I) and EU consumer protection regulations. If you are a consumer, you also benefit from any mandatory provisions of the consumer protection laws of your country of residence.

13.2 Dispute Resolution Process:

  • Direct Communication: We encourage resolving disputes through direct communication with our support team at legal@julexis.com
  • Online Dispute Resolution (ODR): For consumers in the EU, you may submit a complaint through the European Commission's ODR platform at https://ec.europa.eu/consumers/odr. Our email for ODR purposes is: legal@julexis.com
  • Mediation: If direct resolution fails, either party may initiate mediation through a mutually agreed mediator or the mediation body of the Chamber of Commerce of Naples
  • Court Proceedings: If mediation does not resolve the dispute, it will be settled by the competent Italian court

13.3 Jurisdiction and Venue:

  • For consumers: The courts of the consumer's place of residence shall have jurisdiction, as required by Italian and EU consumer law
  • For businesses: Any legal action must be brought in the competent courts of Naples, Italy
  • Italian law applies regardless of where you access the Service, without prejudice to mandatory consumer protection provisions of your country of residence

14. Changes to Terms

14.1 Right to Modify: We reserve the right to modify, update, or change these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • We will notify users via email for material changes
  • We will provide in-app notifications for significant updates
  • We will maintain previous versions for reference when possible

14.2 Acceptance of Changes:

  • Continued use of the Service constitutes acceptance of updated Terms
  • You have 30 days to object to material changes
  • If you object to changes, you may terminate your account
  • Termination due to Terms changes may entitle you to a prorated refund

14.3 Notification Methods: We will notify you of changes through:

  • Email to your registered email address
  • In-app notifications when you log in
  • Updates posted on our legal page
  • Notices in our Service dashboard

15. General Provisions

15.1 Entire Agreement: These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Julexis regarding the Service.

15.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment:

  • You may not assign or transfer your rights under these Terms without our written consent
  • We may assign these Terms in connection with a merger, acquisition, or sale of assets, with prior notice to you
  • Any attempted assignment without consent is void

15.5 Force Majeure: Neither party will be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

15.6 Survival: Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15.7 Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.

15.8 Language: These Terms are drafted in English. An Italian translation may be provided for convenience. In case of conflicts between the English and Italian versions, they shall be interpreted harmoniously; if a genuine conflict exists, the interpretation most favorable to the consumer shall prevail where applicable.

4. Automated Decision-Making and AI Processing

AI-Powered Content Generation (GDPR Art. 22)

Julexis uses AI models to generate social media content based on your input. This processing involves:

  • What happens: Your content briefs, prompts, and preferences are sent to OpenAI's API to generate text content suggestions
  • Human oversight: All AI-generated content is presented to you as suggestions. You always have the ability to review, edit, or reject any AI-generated content before publishing
  • No automated decisions with legal effects: The AI does not make any decisions that produce legal effects or similarly significant effects concerning you. Content generation is purely assistive
  • Data sent to OpenAI: Only the text content of your prompts and briefs is sent. We do not send personal identification data, billing info, or account credentials. Per OpenAI's API terms, this data is not used to train their models
  • Your right to object: You can choose not to use AI features and create all content manually

We do not sell, rent, or trade your personal information to third parties for their marketing purposes.

5.1 Service Providers (Data Processors): We share information with trusted third-party service providers who process data on our behalf under Data Processing Agreements (DPAs) compliant with GDPR Art. 28:

5.2 Social Media Platforms: When you connect and authorize social media accounts:

  • We share content you choose to publish through our Service

  • Content already published to a social platform remains on that platform after you delete your Julexis account. To remove it, delete it directly on each platform; deleting your Julexis account only disconnects the account and removes the data we hold
  • Inbox messages: Direct messages, comments, and replies shown in the Inbox are fetched live from the connected platforms when you open them; we do not store the content of these messages on our servers
